  1. Definitions.
  2. “Trip” means a Classic Birthright Israel 10-day trip for individuals 18-26 years-old that occurs between December 2026 and September 2027, and more specifically, during: i) the Winter season (December 2026 – March 2027); and ii) the Summer season (May 2027 – September 2027).
  3. “Custom URL” means the unique URL to be provided by BRI to Recruiter through which Recruiter’s referrals must apply for the Trip in order for Recruiter to be eligible for Referral Rewards.
  4. “Eligible Referral” means an individual who applies for a Trip via Recruiter’s Custom URL and who is eligible to attend a Trip according to the further eligibility requirements described via the following link: http://www.birthrightisrael.com/visitingisrael/Pages/Eligibility.aspx, and is ultimately accepted to attend a Trip.
  5. “Valid Referral” means an Eligible Referral who pays a full deposit to attend a Trip, as required by Birthright Israel, and participates on the Trip.
  1. Program Overview. In compliance with these Terms & Conditions, Recruiter will promote the Trip by distributing his/her Custom URL and asking individuals to apply through the Custom URL. A Valid Referral must always originate from Recruiter’s Custom URL to qualify for “Referral Payments” and “Referral Bonuses,” as defined below. BRI will provide Recruiters with resources to aid with recruitment efforts, including access to webinars, ongoing tracking of Valid Referral tallies, and “Promotional Materials” (as later defined) approved for distribution.
  1. Referral Payments & Bonuses.
  2. Referral Payments. BRI will provide payments to each Recruiter who secures at least five (5) Valid Referrals (the “Referral Payments”). Referral Payments will be administered in accordance with the following tiered system:
  3. A total of five (5) to ten (10) Valid Referrals will generate a Referral Payment of Fifty Dollars ($50) per Valid Referral.
  4. Please Note: Securing less than five (5) Valid Referrals will not result in any Referral Payments.
  5. Upon securing at lease eleven (11) Valid Referrals, the Referral Payment will increase to Sixty-Five Dollars ($65) per Valid Referral from the eleventh (11th) Valid Referral until the fortieth (40th) Valid Referral.

iii.      Upon securing at lease forty-one (41) Valid Referrals, the Referral Payment will increase to Eighty Dollars ($80) per Valid Referral from the forty-first (41st) Valid Referral until the eightieth (80th) Valid Referral.

  1. Upon securing at lease eighty-one (81) Valid Referrals, the Referral Payment will increase to One Hundred Dollars ($100) per Valid Referral from the eighty-first (81st) Valid Referral until the hundredth (100th) Valid Referral.
  2. After the hundredth (100th) Valid Referral, Recruiter must obtain BRI’s written approval to continue recruiting. If approval is granted, Recruiter will continue to receive One Hundred Dollars ($100) for each Valid Referral after the hundredth (100th) Valid Referral. Requests to continue recruiting can be made to recruiter@birthrightisrael.com.
  3. Referral Bonuses. In addition to the Referral Payments noted above, Recruiters will also be eligible for specific bonuses when they hit specific recruitment milestones (the “Referral Bonuses”):
  4. A Five Hundred Dollar ($500) Referral Bonus for the Recruiter’s fortieth (40th) Valid Referral.
  5. A Five Hundred Dollar ($500) Referral Bonus for the Recruiter’s eightieth (80th) Valid Referral.

A One Thousand Dollar ($1,000) Referral Bonus for the Recruiter’s hundredth (100th) Valid Referral.

  1. Tallying. BRI will tally Valid Referrals on an ongoing basis from December 2026 through September 2027, across both the Winter and Summer seasons. In other words, a Recruiter’s total Valid Referrals at the end of the Winter season will carry over into the Summer season and continue to accumulate with every additional Valid Referral secured during the Summer season.
  2. Maximum Compensation Cap. Notwithstanding anything to the contrary herein, the maximum total amount a Recruiter may receive from BRI under this program, including all Referral Payments and Referral Bonuses, is Ten Thousand Dollars ($10,000). A Recruiter who secures more than one hundred (100) Valid Referrals must obtain prior written approval from the BRI Recruitment Team before continuing to recruit or becoming eligible for any additional Referral Payments. Approval to continue recruiting beyond one hundred (100) Valid Referrals does not increase or waive the Ten Thousand Dollar ($10,000) maximum compensation cap.
  1. Payment Process for Cash-Based Rewards. BRI will pay Referral Payments and Referral Bonuses through its marketing agency MLLNNL, Inc. (“MLLNNL”) in the form of an ACH direct deposit paid in US Dollars; accordingly, Recruiter must maintain a valid banking account within the United States. Upon BRI’s determination that Recruiter should receive payment, BRI will contact Recruiter via email, at the email address BRI used to initially contact Recruiter about the Program, to request a completed IRS Form W-9 (if applicable) and ask for bank account and routing information. W-9 and bank account and routing information must be submitted and received by BRI within thirty (30) calendar days from when BRI contacts Recruiter for such information or Referral Payments and Referral Bonuses may be forfeited at BRI’s sole discretion. In the event of forfeiture, BRI reserves the right to donate Recruiter’s Referral Payments and Referral Bonuses to the Birthright Israel Foundation. If Recruiter’s bank charges additional fees for direct deposits or other aspects of payment, Recruiter shall be responsible for such fees and BRI reserves the right to deduct such fees from any total payment due to Recruiter. Recruiters are solely responsible for ensuring account information is accurate and current. BRI will not be responsible for any payments not received by Recruiter due to Recruiter failing to provide accurate and complete information for payment or if any direct deposit bounces.
  2. Taxes. Recruiters are responsible for all tax reporting and liabilities, if any, for any payments received in connection with the Program.
  3. Payment/Reward Timing. Provided that Recruiter responds to all BRI requests for information in a timely manner, all Referral Payments and Referral Bonuses should be issued on or about September 30, 2027. BRI shall not be liable for any delays in such timing.
  4. Disqualification. BRI reserves the right, in its sole discretion, not to provide any Referral Payments or Referral Bonuses where BRI determines, in its sole discretion, that Recruiter’s actions violated these Terms & Conditions.
  5. Deductions. BRI reserves the right, in its sole discretion, to deduct any Valid Referral’s from Recruiter’s total tally of Valid Referrals to the extent BRI identifies any breach of these Terms & Conditions in obtaining such Valid Referral.
  1. Compliance. In addition to the other legal requirements in these Terms & Conditions, Recruiter expressly agrees to comply with the following:
  2. Compliance with Laws. Recruiter agrees that he/she is solely responsible for any communications made by him/her and for any consequences thereof, including, without limitation, liability under any applicable laws. Recruiter further agrees that he/she will always act in compliance with all applicable local, state, federal, and international laws, rules, and regulations.
  3. Use of Birthright Israel Promotional Materials. Recruiter shall only be permitted to use such Birthright Israel trademarks, intellectual property, and materials that have been explicitly provided to Recruiter by BRI for use by Recruiter in connection with the Program (collectively, the “Promotional Materials”). Recruiter represents and warrants that he/she shall use the provided Promotional Materials exclusively for purposes of participating in the Program and promoting the Trip, furthering the objectives of these Terms & Conditions, only in a manner that is consistent with these Terms & Conditions, and only for the duration that these Terms & Conditions remain in effect. Recruiters are not permitted to modify or make derivatives of the Promotional Materials and are not permitted to use the Promotional Materials in any manner that goes beyond the scope of these Terms & Conditions. The permission noted herein shall not be considered a license and Birthright Israel shall, at all times, remain the owner of any and all intellectual property and other proprietary rights in the Promotional Materials.
  4. Acceptable Use Policy.Recruiter, in connection with his/her activities under these Terms & Conditions, shall not promote or recruit for the Trip in a manner that: i) will generate or facilitate unsolicited bulk commercial emails or spam messaging; ii) will, or otherwise might encourage, the violation of the legal rights of others; iii) is, or is alleged to be, unlawful, harassing, invasive, infringing, defamatory, coercive, or fraudulent; iv) incorporates obscene or pornographic content; v) presents any of BRI’s or a BRI affiliate’s, related party’s, or partner’s name, brand, or trademark, incorrectly, in a false or negative light, or in a manner that may tarnish or dilute such name, brand, or trademark; vi) could be reasonably seen to affiliate BRI or the Trip with a specific political or religious agenda; vii) misrepresents the Program; viii) offers cash or other rewards or promises to individuals in exchange for their registering through Recruiter’s Custom URL; ix) involves directly messaging or targeting an individual for recruitment where such individual was identified as a result of his/her posting or activity on BRI’s or a BRI affiliate’s, related party’s, or partner’s social media channel and where there was no pre-existing and independent connection to such individual; or x) creates an impression that Recruiter is a partner or contractor for BRI or a BRI affiliate, related party, or partner, unless such relationship does in fact exist through another channel.
  5. Third Party Activity. Recruiters may not engage third parties to assist with promotion of the Custom URL. All of Recruiter’s activities under these Terms & Conditions should come from his/her own email and social media accounts.
  6. BRI Requests. To the extent that BRI identifies any activities by Recruiter undertaken in connection with Recruiter’s involvement in the Program that BRI, in its sole discretion, determines are not in compliance with these Terms & Conditions, BRI may request that Recruiter cease any such activities. Recruiter shall comply with any such BRI request.
  1. Term; Termination. These Terms & Conditions shall run from the date Recruiter accepts these Terms & Conditions until the distribution of all Referral Payments and Referral Bonuses at the conclusion of each Trip Season, or until terminated by either party as provided herein. BRI may terminate Recruiter’s involvement in the Program or Recruiter may terminate his/her own involvement in the Program, with or without cause, by providing written notice to the other party through email. For termination notices sent from BRI to Recruiter, BRI shall use the email address at which BRI originally contacted Recruiter about the Program. Termination notices from Recruiter to BRI or any questions about these Terms & Conditions must be sent to the following email address: recruiter@birthrightisrael.com. The effective date of termination shall be the date on which such email notice is sent. In the event of a termination, unless BRI terminates “for cause” (as later defined) Recruiter will still be eligible to receive the Referral Payment and Referral Bonuses as based upon the number of Eligible Referrals submitted before the effective date of termination to the extent any end up becoming Valid Referrals. In the event of BRI’s termination “for cause,” Recruiter shall not receive any Referral Payments or Referral Bonuses. BRI may terminate “for cause” based upon the Recruiter’s: i) disqualification for ineligibility; or ii) violation or alleged violation of these Terms & Conditions.
  2. Terminating the Program. BRI reserves the right, at its sole discretion, to terminate or suspend the Program if the Program is not capable of completion as planned for any reason, including but not limited to, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of BRI that affects the Trip or the administration, security, fairness, integrity, or proper conduct of the Program. In the event BRI terminates or suspends the Program, Recruiter will still be eligible to receive the Referral Payment and Referral Bonuses as based upon the number of Eligible Referrals submitted before the effective date of termination/suspension to the extent any end up becoming Valid Referrals.
  1. Confidentiality.Recruiter may not disclose any non-public aspect of the Program to any third party, except to its professional advisors under a strict duty of confidentiality or as necessary to comply with law.
  1. Indemnification.Recruiter will defend, indemnify, and hold harmless BRI, its affiliated and related parties, and their respective employees, officers, and agents, from any claim or liability arising out of: i) Recruiter’s participation in the Program; or ii) Recruiter’s breach or alleged breach of any part of these Terms & Conditions.
  1. Disclaimers; Limitation of Liability.BRI DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES FOR NON-INFRINGEMENT, SATISFACTORY QUALITY, MERCHANTABILITY, AND FITNESS FOR ANY PURPOSE. TO THE FULLEST EXTENT PERMITTED BY LAW, THE PROGRAM IS PROVIDED “AS IS” AND AT RECRUITER’S OPTION AND RISK, AND BRI DOES NOT GUARANTEE ANY RESULTS. EXCEPT FOR BREACHES OF SECTION 5 (COMPLIANCE), SECTION 7 (CONFIDENTIALITY), AND SECTION 8 (INDEMNIFICATION), TO THE FULL EXTENT PERMITTED BY LAW REGARDLESS OF THE THEORY OR TYPE OF CLAIM, NO PARTY MAY BE HELD LIABLE UNDER THESE TERMS & CONDITIONS FOR ANY DAMAGES OTHER THAN DIRECT DAMAGES, EVEN IF THE PARTY IS AWARE OR SHOULD HAVE KNOWN THAT SUCH DAMAGES ARE POSSIBLE AND EVEN IF DIRECT DAMAGES DO NOT SATISFY A REMEDY.
  1. Modification of Terms.BRI may at any time and in its sole discretion, modify the terms of the Program and/or these Terms & Conditions. In the event of any such modification, BRI will provide Recruiter with such modified Terms & Conditions via email at the email address BRI used to initially contact Recruiter about the Program; the effective date of any such modification shall be the date on which such email is sent. In the event that any such modification concerns changes to Referral Payments or Referral Bonuses after Recruiter’s Eligible Referrals have already been submitted via Recruiter’s Custom URL, and those Eligible Referrals end up later becoming Valid Referrals, BRI shall remain obligated to provide Recruiter the specific payments noted in those Terms & Conditions in effect at the time such Eligible Referrals were submitted.
  1. Promotion & Privacy.
  2. Promotional Efforts. BRI may want to promote Recruiter in connection with his/her participation in the Program. Recruiter agrees that, if requested by BRI, he/she shall provide a photograph of himself/herself, which Recruiter has ownership rights in, with resolution sufficient to permit BRI to feature the photograph in promotional materials. Recruiter hereby grants BRI a perpetual, fully paid-up, worldwide, irrevocable, transferrable, sub-licensable, royalty-free license to use, copy, reproduce, publish, retain, publicly display, transmit, modify, adapt, create derivatives of, edit, distribute, and otherwise exploit in any and all ways, all or part of Recruiter’s photograph as provided to BRI, together with his/her name, city and state of residence, other general biographical information, and other information related to Recruiter’s Birthright Israel experience, in connection with BRI’s promotional efforts on behalf of the Program, and for all non-commercial purposes related to BRI’s work. BRI reserves the right to share Recruiter’s name, email, address, and related personal information collected from Recruiter, with its partners, affiliates, related entities, and contracted entities.
  1. Miscellaneous. All notices must be in writing. Recruiter will not assign or otherwise transfer his/her rights or delegate his/her obligations under these Terms & Conditions, in whole or in part, and any attempt to do so will be null and void and shall constitute a violation of these Terms & Conditions. These Terms & Conditions are governed by and shall be interpreted under the laws of the County and State of New York, without regard to the conflict of law principles thereof. Recruiter agrees to abide by these Terms & Conditions and by the decisions of BRI, which are final, binding, and non-appealable, on all matters relating to these Terms & Conditions. All claims or disputes between BRI and Recruiter arising from or relating to these Terms & Conditions shall be mutually resolved, if possible, through good faith mediation between the parties. In the event no resolution occurs within sixty (60) calendar days of good faith mediation, the parties agree to submit the claim/dispute to binding arbitration conducted by one (1) arbitrator as selected by BRI, and in accordance with the rules and processes of either the American Arbitration Association or Judicial Arbitration and Mediation Services, Inc., with such arbitration to be conducted either virtually or in New York City, at BRI’s sole discretion. The parties are independent contractors and these Terms & Conditions do not create any agency, partnership, or joint venture. No party is liable for inadequate performance to the extent caused by a condition that was beyond its reasonable control. Failure to enforce any provision will not constitute a waiver. If any provision is found unenforceable, the balance of the provisions will remain in full force and effect. In the event of any termination or suspension of the Program, or upon the expiration of these Terms & Conditions at the conclusion of the Program, all Terms & Conditions which, by their nature, are intended to survive termination, suspension, or expiration, shall so survive, including but not limited to Sections 3, 4, 5, 6, 7, 8, 10, 11, and 12. These Terms & Conditions are the parties’ entire agreement relating to its subject matter and supersede any prior or contemporaneous agreements or public postings on that subject.
